Economic Zeitgeist and Bringing Power Back To The Citizens
When I was in graduate school, I had the discipline to study hard, get involved in various club organizations that catered to diversifying my abilities in business and finance but always felt that something was lacking. We would learn about economics within the capitalist and communist systems, pros and cons of globalization, big government, the instability of non-entrepreneurial markets and every other concept that catered to our professor’s desire to legitimize their theories by blasting out intimidating formulas that were true in theory but impossible in real life. If an economic stimulus is fully functional on paper due to formulas and calculation yet has never and will never work in the ‘real world’, what’s the point?
I’m eight years out of university and running a clean environment facility manufacturing everything from surgical equipment to dual circuit transistors and as I’ve grown into my career I’ve tossed the text books as a reference as it was getting me nowhere and started researching strategic economics with special attention focused on turning corporations and urban landscapes around from the black hole of absolute demise to a gleaming representation of socially responsible economic turnaround, without the government’s corrupt fangs plunging into the veins of the community. This concept of economic strategy has been labeled ‘Zeitgeist Economics’, a completely original political economic strategies concept that turns a blind eye to the bloodletting concepts by unproven governmental organizations that jack taxes, minimize citizen options, push back retirement age to correct the mistakes of the ill-informed yet uncompromising politicians that don’t know the difference between political economics and sock mending.

I’ve subscribed to the RSS feed for James Scott’s company and this was one of the most recent blog posts placed online. One of the characteristics of Scott that has catapulted him to the absolute pinnacle of global economics with an entire movement following his lead is his strategic, yet tactical, methodical yet well-paced process and a track record that leaves him in a class by himself. His writing is philosophical (with its flow sounding almost poetic) and attracts those who are looking for the well rounded expertise of a genuine economist with real life capabilities to save countries, cities and global corporations from self-destruction. Public recognition of his supreme abilities come with the occasional radio or magazine interview but for the most part it is the massive blogging of economists, MBA’s, PhD’s and international think tank members and professionals that have seen the end result of his mind-blowing economic turnaround, corporate structuring and political economic strategies.
I love the way the below entry reads. I get it all, philosophy, poetic flow, encyclopedia size content condensed into one page and the satisfaction of knowing that I’m reading some notes jotted down by a man that will eventually be referred to in the history books as the father of the Economic Zeitgeist movement, the process of Zeitgeist Economics and the for having the guts to tear out the eyes of the establishment and pass the keys to the kingdom to the citizens of the world as he guides us all on how to take our civilization back from political corruption and a debt driven hodgepodge concoction of monetary stew.

One of the most critical realities that a CEO of a public organization must face is the process and decision to die; death not in a physical sense, rather a snuffing out of the ego. With the evolution and intellectual development of man comes the development of the analytical skills that allow one to dissect information and critique various responses before an idea can crash through the minds recently evolved critical faculty and plunge into the reactionary, animalistic primal brain which will spew forth an ocean of emotion driven reactions with universally negative outcomes.
Decision making via calculated and analytical processes minus the emotional cancer causing agents that cloud and stunt a corporation’s longevity and prosperity will attract strategic alliances, create comfort zones for much needed investors and streamline expansion strategies due to tactical templates designed by a C level executive that can think objectively without the collateral damage stemming from emotional reaction.

Taking A Company Public, IPO Consultants, Globalization Strategists: How To Pick The Right Consultant
I talk to Ivy League MBA’s on an daily basis (as if that even means anything anymore) and at the end of each conversation I just want to scream into the phone, ‘Do you have anything other than text book graphs and memorized clich quotations?’. I feel, in a way, ripped off. Turn on the TV and you see the talking heads telling automatons what to think about current events and the resume to the left of the screen talks about Harvard this, Princeton that and at the end of the segment you find that all they were doing is regurgitating information spoon-fed to them by corrupt manipulators placing them on that program to promote an agenda as opposed to introducing original and true concepts to viewers. Don’t get me wrong, Ivy League graduates make great employees when they are in an environment where they are controlled but as for free thinking and creative entrepreneurial strategists, well, sorry but they just don’t have it.
I’ve never been at a round table meeting after hours for a crisis management issue concerning the jobs of massive groups of people where anyone at the table was from an Ivy League school. The people around the table are people with something to prove, not to others but to themselves and this ‘proving ground’ is not based on insecurity, rather the obsession with pressing the intellectual and strategic evolution of the mind. Genius is not defined by intellectual IQ rather it is defined by emotional IQ, street-smart and inner demons that keeps one up at night with globalization charts and crisis response targeting maps. It’s the mentality of win at all costs, crush competition and controlled and evenly distributed rage to annihilate obstacles and absorb market share that makes one great in globalization and IPO facilitation. Attorneys are a must for corporate expansion processes and going public but they should never be the lead on the overall strategy. As for education, I’m more interested in the post university street education of a consultant or employee than where they when to university, as long as they had the discipline to complete their degree in a timely fashion, got involved and took advantage of all the school had to offer is a good start.
When choosing a consultant for political tie in strategies, globalization, ‘real’ mergers and acquisition facilitation and IPO’s you need someone that has presence. Look for nervous habits, the proper consultant will be absent of such ‘tells’, their eyes should tell a story of hardship and victory which is defined by their gaze which will penetrate you, intimidate you and make you uncomfortable, for; this is exactly what you want in someone that will be speaking and engaging the opposition on your behalf. They won’t need the last word in the meeting because they know that if they take you on as a client, in the end, their word is all that will matter anyway because they know the depth of their abilities that are most likely beyond your comprehension as during your conversations is mind is storming with tactical maps as he plugs your scenario into them formulating strategies that, based off of his track record, will already know the outcome before your meeting is over therefor he can give you a realistic perspective of your economic and corporate fate before a contract is even consummated.
The proper consultant is a street wise, intellectual street fighter that is open to confrontation under the right circumstances but doesn’t seek it out. Their decisions during a meeting are not solely based off of the words of the party on the other side of the table rather a combination of words, intonation, head tilt, facial creases, hand gestures, lip movement, body movement and other involuntary tells that give the truth behind the lies and over exaggerations.

For diversified investors, the IPO is the holy grail of all investments. Why? Because of the higher yields involved with a company with a great concept that is about to step onto the scene and change the order of an industry. Many times the investors are able to take advantage of a deeply discounted stock price compared to the retail price available to the mainstream.
For those who have experienced the power of an IPO, the next natural stage is the Pre IPO. A Pre IPO investment a few months before the company is issued a trading symbol is the creme de la creme of all stock investments. Many times investors are offered warrants for discounted future offerings with the company; the stock is typically discounted deeply to the IPO price, which in turn is discounted to the retail price. The investment mechanism is typically done via Private Placement Memorandum using rule exemption 506 of Regulation D.

The company should offer potential investors a package which includes a solid business plan, PPM stating risks and a valuation from which the share price originates. A strong Investor Relations and publicity campaign is crucial to generating interest in an IPO and this strategy should be put in place during the company’s comments phase with the SEC (if it is an OTCBB listing the company is initiating).
A solid investor relations campaign will consist of, at a minimum, two press releases per week, phone room assistance to introduce the company to the broker and investment market, SEO campaign, iTunes company and industry position downloads for interested parties, webinars, investor newsletter as well as radio, TV and university expert panel interviews and other public interactions to make the public aware of the company, product/service and stock symbol.

How To Take A Company Public – Over The Counter Bulletin Board
There are many ways to use capital without using bank loans, lines of credit and other shady methods like shelf corps and bogus platform scams. If you are truly trying to raise capital for your company here are some simple breakdowns of your options with a quick definition for each one:
PIPE: Private Investment In Public Equity this is used primarily by mutual funds and private investment firms where they buy discount stock in order to raise capital, there are two types of PIPEs traditional where common and preferred stock is issued at a set cap to raise money for the issuer and a structured pipe issues convertible debt.
DPO: Direct Public Offering is when you sell equity shares directly to customers, suppliers and employees.
PPM: Private Placement Memorandum is also known as an offering memorandum takes advantage of Regulation D rule exemptions 504, 505 and 506. This process came into existence with the’33 securities act and popularized in the late’80s, companies can raise money from the public via private placement; there is virtually zero interaction with the SEC after you file form d as long as you stay legal. (most popular form of fund raising).
IPO: Initial Public Offering: extremely expensive, need SOX 404 audits, must have board of directors, quarterly financial reports to shareholders, report heavily to the SEC and 1 out of every 1000 companies that want an IPO actually qualify. I love participating in these but most companies just can’t qualify for one reason or the other.
OTCBB: Over the Counter Bulletin Board is an electronic quote system that is the next best thing if you can’t go public via ipo, there is minimal red tape to startups and small businesses and is legitimized by the stringent ongoing reports to the SEC which keeps investor confidence high (these are extremely solid and I suggest this structure to companies when I am hired by their company or legal team as a consultant as a fast, easy way to raise big capital from the public otc)
Pink Sheet: you can look at pink sheets as the Burger King, while the OTCBB is McDonalds, they are competing otc mechanisms. Pinks sheets are commonly referred to as penny stock and notorious for ‘pump em’ and dump em’ controversies and a lot of crooked people are involved with this platform. This is not a long term process that will allow one’s company to grow, pink sheets companies are typically short lived but it is cheap to set up but not a professional structure that could be upgraded in time to an IPO.
Reverse Merger: a group funds the filing and creation of a public shell, they then sell that shell to a company that wants to go public, the established company merges it’s entity into the public shell. The sellers retain around 30% equity after they charge an upfront fee of 300k to 1m. 99% of reverse mergers are successful with the merger, but unsuccessful to bring them to trade and the entity basically just fizzles out.
Taking your company public is actually quite simple and inexpensive when you have the right consultant putting the structure together for you. Global Expansion – Taking A Company Public – Who Should Proceed And Who Should Give It Up
If you’re reading this you are most likely contemplating the possibility of going public or taking your public company global for distribution expansion. While your intentions may be in the right place your company may not be in a position for these types of growth.
Let’s look at going public. I get calls daily from companies and startups with products ranging from a new shoelace that is going to revolutionize the sneaker industry to underwater gimp costume sowing instructional videos and sometimes, I mean very rarely will I get a cold call from a client that will actually succeed in going public and sustaining a public entity post IPO. Unless you have profits, limited liability and real distribution and scalability, you have nothing at all. Ideas come and go and very few concepts are so revolutionary that they can Google-ize and industry.
Your industry is actually secondary but the reality is that it should be as ‘recession proof’ as possible. I know what you’re thinking, nothing is recession proof and yes you are partially correct. But your corporation should still be able to operate during a recession and still bring in, no matter how slim, profits during hard times. This is how you will be able to bring in securities back PIPE loans and LOC’s when your stock is trading in minimal volume. I could go on about this point for pages upon pages but I only have 400 words to get my point across so I’ll move on.
Globalization is an endeavor that should only be taken on once you’ve conquered your own backyard. When you’ve truly dominated your competition in one region you should facilitate and supplement your growth by using your public stock as collateral for controlled liquidation if you go delinquent. Don’t liquidate shares onto the market in order to raise capital for that expansion to China or Japan. Your company should be able to use is liquid proceeds above and beyond operational costs for this growth and at a worst case you would collateralize assets or securities to come up with the rest of the cash needed.
Most companies that see greener pastures in another country are still two years too early for the expansion. Get an opinion from your corporate and legal advisors then go to your board, bring it to a vote then if the expansion is approved you should bring on a consultant to iron out the kinks and use their contact base to help you grow with as few bumps in the road as possible.
At the end of the day you should bring on the right people who are completely submerged in the IPO and globalization industry to help guide you during the above processes. If you feel you are ready have a meeting with your C level group of executives and write down the pros and cons for going public or expanding and if the pros out weight the cons, find yourself a turnkey consulting firm and take it from there.
